Terms and Conditions for YMH Creative Reflections
Introduction
These Terms and Conditions govern the use of services provided by YMH Creative Reflections ("we," "us," or "our"). By engaging with our services, you ("Client," "you," or "your") agree to comply with these terms.
1. Services Provided
YMH Creative Reflections offers a range of creative services, including design, branding, web development, and marketing consultation. Specific services will be outlined in the individual service agreement.
2. Pricing and Payment Terms
Initial Estimate: Pricing for our services is determined based on the scope and complexity of the project. An initial estimate will be provided to the Client upon discussion of project details.
Two Free Rounds of Revisions: Each project includes two rounds of revisions at no additional charge. These revisions must be within the original scope of work.
Additional Revisions: Any revisions beyond the two free rounds will incur additional charges. The pricing for additional revisions will vary based on the complexity and scope of the requested changes. An updated estimate will be provided before proceeding with any additional work.
Payment Structure: Payments will be made according to the payment schedule of 2 installments or optional to pay in full , this will be outlined in the service agreement. Payment is due upon receipt of an invoice, unless otherwise agreed upon. A deposit is required to begin the project. Any Service under 1600 usd requires full payment.
3. Project Timeline
We will provide an estimated timeline for the completion of your project. Timelines are contingent upon the Client's timely feedback and provision of necessary materials. Any delays in providing feedback or required materials may result in project delays.
4. Abandonment Fee
Inactive Projects: If a project is put on hold or if there has been no contact with the Client for a period of three (3) weeks, YMH Creative Reflections reserves the right to close the project.
Reopening a Project: If the Client wishes to reopen the project after it has been closed due to inactivity, a reopening fee will apply. The reopening fee will vary depending on the work completed thus far and any updates or changes that need to be made to the project.
Cancellation: If the Client wishes to cancel the project at any time before completion, a cancellation fee may apply, which will be determined based on the work completed up to that point.
5. Ownership and Copyright
Upon full payment for services rendered, the Client will hold ownership of the final deliverables. However, YMH Creative Reflections retains the right to use the work in portfolios or for promotional purposes unless otherwise agreed upon in writing.
6. Confidentiality
Both parties agree to keep all proprietary and confidential information disclosed during the course of the project confidential. This includes, but is not limited to, business strategies, designs, and client-specific data.
7. Liability
YMH Creative Reflections is not liable for any indirect, special, or consequential damages arising from the use of our services. Our liability is limited to the amount paid by the Client for the project.
8. Force Majeure
We will not be held responsible for delays or failure to perform services due to circumstances beyond our control, including but not limited to natural disasters, acts of government, or strikes.
9. Termination of Agreement
YMH Creative Reflections reserves the right to terminate the agreement if the Client violates the terms outlined herein or if the project becomes unmanageable due to excessive revisions, non-payment, or other breaches of contract.
10. Dispute Resolution
In case of a dispute, both parties agree to first attempt to resolve the matter through informal negotiation. If informal negotiations fail, the dispute may be submitted to arbitration in accordance with applicable laws.
11. Amendments
These Terms and Conditions may be amended at any time. Clients will be notified of changes and may opt-out of future engagements if they do not accept the new terms.
